Terms of Service
Last updated: September 10, 2026
1. Acceptance
These Terms of Service ("Terms") are a binding contract between you and NovaClips ("we", "us"), operator of the NovaClips service ("NovaClips", "Service"). By creating an account or checking the acceptance box at signup, you agree to these Terms and our Privacy Policy. If you do not agree, do not create an account. Limited use of public marketing pages without an account does not by itself create a contract, but using the Service after account creation is governed by these Terms.
You must be at least 13 years old to use NovaClips. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts
You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly at [email protected] if you suspect unauthorized access.
One person or organization may not maintain more than one free account to circumvent plan limits. We may refuse registration, reclaim usernames, or close accounts that violate these Terms or that have been inactive for an extended period, subject to applicable law.
3. Service description
NovaClips is a web application that helps creators turn long-form spoken video into editable short-form clips. The Service includes video processing, AI-assisted clip selection, transcript editing, caption styling, URL or file import, and export.
Features, limits, and pricing may change. We may add, modify, or discontinue features with reasonable notice when practicable.
4. Your content, ownership, and license
You retain ownership of videos, audio, transcripts, images, exported clips, captions, and other materials you upload, import, or create through NovaClips ("User Content"). Subject to applicable law and third-party rights in the underlying material, you may use your exported clips and captions for your own purposes. NovaClips does not claim ownership of your User Content.
You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transcode, analyze, display, and distribute User Content solely as needed to operate, secure, and provide the Service to you — including sending audio to Deepgram and transcript text to OpenAI as described in our Privacy Policy.
This license ends when User Content is deleted from our active systems, except for reasonable backup retention and records we must keep by law or for billing disputes.
You represent and warrant that you own User Content or have all rights, licenses, and permissions needed for us to process it under these Terms, including rights to import content from third-party URLs you submit.
5. Source rights and acceptable use
You may only upload or process content that you own or are authorized to use. NovaClips does not permit processing of content obtained through unauthorized downloading, scraping, or circumvention of platform restrictions.
You agree not to use NovaClips to upload, import, process, store, or share content that:
- Infringes copyrights, trademarks, privacy, publicity, or other rights
- Is unlawful, fraudulent, harassing, defamatory, hateful, or deceptive
- Includes child sexual abuse material or exploits minors in any way
- Includes non-consensual intimate imagery or doxxing of private personal data
- Promotes violence, terrorism, or illegal activity
- Contains malware, spam, or attempts to phish or compromise accounts
- Violates the terms of any third-party platform (including YouTube or Google Drive)
- Was obtained through unauthorized downloading, scraping, or circumvention of access controls
You also agree not to:
- Probe, scan, or test the vulnerability of our systems without permission
- Interfere with or disrupt the Service or other users' use of it
- Reverse engineer the Service except where prohibited by law
We may investigate violations and suspend or terminate accounts that breach these rules or our Copyright Policy.
6. Our intellectual property
NovaClips, our logos, software, documentation, and all related technology are owned by us or our licensors and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, we reserve all rights. You may not copy, modify, or create derivative works of the Service except as allowed by law.
7. Included videos, credits, and billing
Plans include monthly videos, exports, and Clip Credits for extra processing minutes and actions. Free receives 50 credits once; Creator receives 300 and Pro 600 monthly. Exports beyond your monthly allowance cost 10 credits each. Each credit grant or purchase expires after one year. Duration is billed in whole-minute increments.
Paid subscriptions renew automatically each billing period until canceled. By starting a paid plan, you authorize recurring charges at the then-current price plus applicable taxes. You may cancel through the billing portal in Settings or by emailing us; cancellation stops future renewals and you keep access through the end of the current paid period unless stated otherwise at checkout.
Paid checkout, receipts, and subscription management are processed by Dodo Payments. Refund and chargeback handling follow our Refund Policy, Dodo Payments's policies, and applicable law. Contact [email protected] for billing questions.
8. Data retention
Original source files and working proxies are retained for 3 days on the free plan and 30 days on paid plans, unless you delete them sooner. You may delete projects at any time from your library.
Account deletion is available in Settings and removes your profile and associated projects from our active systems, subject to billing or legal record retention.
9. AI output disclaimer
To provide transcription, clip suggestions, titles, and Clip Potential scores, we send audio derived from your uploads to Deepgram and transcript text to OpenAI. We do not send your raw video file to OpenAI for clip selection. Those providers process data under their own terms and retention policies.
AI-generated scores, titles, rationales, and boundary suggestions may be inaccurate, incomplete, or unsuitable for your audience. They are editorial aids only — not human-reviewed advice and not guarantees of views, revenue, or performance. You must review all outputs before publishing.
You are responsible for ensuring that published clips comply with applicable law and third-party platform rules. NovaClips is not liable for content you publish based on AI suggestions.
10. Model training
NovaClips does not use your private video content to train NovaClips models without your separate explicit consent. Third-party AI providers may retain API inputs under their own policies; see our Privacy Policy and the current Deepgram and OpenAI documentation for details.
11. Termination
You may stop using the Service at any time and may delete your account from Settings. Paid subscribers should cancel through the billing portal or by emailing us to avoid future renewal charges.
We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you violated these Terms, our Copyright Policy, applicable law, or third-party platform rules; if your use creates risk or liability for us or other users; or if required by law or a platform partner. Upon termination for cause, we are not obligated to refund prepaid fees except where required by law.
Sections that by their nature should survive termination — including ownership, license grants for retained records, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — will survive.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NovaClips AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
14. Indemnification
You will defend, indemnify, and hold harmless NovaClips and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party right, including intellectual property or privacy rights.
15. Dispute resolution
Before filing a formal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts. Each party waives any objection to venue in those courts.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND NovaClips EACH WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. Disputes must be brought only on an individual basis.
Nothing in this section prevents either party from seeking injunctive relief for intellectual property misuse or unauthorized access.
16. Governing law
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17. Export and sanctions
The Service is controlled and operated from the United States. You may not use, export, re-export, or transfer the Service except as authorized by U.S. law and the laws of your jurisdiction. You represent that you are not located in, under the control of, or a national or resident of any country or person subject to U.S. government embargoes or sanctions, and that you are not on any U.S. government list of prohibited or restricted parties.
18. Changes
We may update these Terms. Material changes will be communicated through the Service or by email. Continued use after the effective date of changes constitutes acceptance. If you do not agree to updated Terms, you must stop using the Service and may cancel any paid plan.
